Self-Serve Terms

Version 1, 5 November 2026

Datlay is not open yet. These Terms are version 1, published ahead of the launch in 2027 so that you can read them early. They apply from the day the service opens, and nothing can be accepted under them before then. The text may still change before launch: the version that binds your company is the one it accepts.

1. Who we are and what these Terms cover

1.1 Datlay is a product of a-systems, a brand of Rteam FZE LLC, a free zone establishment with limited liability registered in the Sharjah Publishing City Free Zone, United Arab Emirates, trade licence 4420354.01, Business Centre, Sharjah Publishing City Free Zone, Sharjah, United Arab Emirates ("we", "us"). These Terms are the contract between us and the company that accepts them ("you").

1.2 Business only. Datlay is offered to businesses, for their business purposes only. By accepting these Terms you confirm that your company acts in the course of its business and not as a consumer. Datlay is not offered to consumers; do not accept these Terms as one.

1.3 The contract. The contract consists of these Terms, the Data Processing Agreement (the "DPA"), the Refunds page, and what you choose at sign-up and at checkout: the plan, the size, the currency and the term. For the processing of personal data, the DPA prevails. If your company has signed a separate agreement with us that covers Datlay, that agreement prevails where it differs from these Terms.

1.4 Words used here. Your "workspace" is your company's own instance of Datlay. A "connected system" is a business system of yours (for example your ERP, accounting or CRM) that you connect to Datlay. A "user" is a person with an account in your workspace, and an "administrator" is a user with administration rights. A "change" is a creation or modification of a record in a connected system made through Datlay. "Your data" is defined in section 11.1. A "business day" is a day from Monday to Friday, except public holidays in the United Arab Emirates.

2. Accepting these Terms

2.1 You accept these Terms and the DPA online, when you sign up, with two separate ticks: one accepts the Terms and the DPA for your company, and the other confirms that you are authorised to accept them for it. You also give your role or title. Your acceptance is complete when you verify your email address. The parties agree that this online acceptance is an agreement in writing, including for section 23.2.

2.2 We record your acceptance: your name, role and verified email address; your company's name, country and registration or VAT number; the version of each document and a SHA-256 fingerprint of the exact text you were shown; the time; the IP address your browser connected from; and your browser's own description of itself. The record is written once and never edited. We email you a PDF of each accepted document with a stamp of these facts, and your administrators can download them from the workspace at any time.

2.3 When your company first pays, the administrator who pays accepts, in the same way, the subscription terms of sections 8, 9 and 14, together with the plan, size, currency and term chosen.

2.4 The English text of these Terms and of the DPA is binding. Translations are for convenience only.

3. Your workspace and your people

3.1 Your administrators invite the users of your workspace. The number of users is not limited, and no fee depends on it.

3.2 Each person signs in with an account of their own. Accounts are not shared.

3.3 You are responsible for who has an account, for removing people who leave, and for the devices and networks your people use to sign in. If you believe an account has been misused, tell us at once at security@datlay.com.

3.4 Every person who confirms changes must use two-factor sign-in.

4. The service

4.1 What Datlay does. Datlay connects to your connected systems and reads their documents (for example deals, orders, purchases, deliveries, stock transfers, invoices, supplier bills and payments) and their history. From them it shows where work waits: the steps each document took, how long each step took, and how one case runs across several systems (the "process X-ray"). With a person's confirmation, it can also make changes in your connected systems, as section 5 describes.

4.2 Systems. Your workspace and this site show which systems Datlay can connect at any time, and what each needs on your side. Some connections may first be offered on invitation.

4.3 How Datlay reads. Datlay reads each system through that system's own interface for other programs. It changes no code and no business settings in your system. Some systems need a step on your side: in Odoo you may install Datlay's free connector module, and in Business Central your administrator registers the app and turns on the change log for statuses. When a system is first connected, Datlay reads up to 90 days of its history. After that it reads what changed since its last read.

4.4 Your systems stay yours. Your connected systems remain the record of your business. They, their data, their availability, their licences, and the work of their vendors and partners remain your responsibility and theirs. We are not responsible for a connected system, or for changes made in it other than through Datlay.

4.5 A reading of your data. What Datlay shows is drawn from your data. Its figures and reports are not accounting, tax or legal advice.

4.6 Vendors' interfaces. Datlay depends on the interfaces that the vendors of your systems provide, and on the limits they set. If a vendor changes, limits or withdraws its interface, we may have to change or stop that connection. We tell your administrators as soon as we know.

4.7 Changes to Datlay. We develop Datlay continuously. If we remove or materially reduce a feature you use, we tell your administrators at least 30 days before, unless a vendor, the law or a security risk leaves us less time.

5. Changes in your connected systems

5.1 Nothing changes without a person's yes. Datlay reads your connected systems. It writes to them only to make a change that a person in your company has confirmed in Datlay. Each change is first prepared (by your AI assistant, by a person, or by an action on a Datlay screen) and shown on a confirmation screen with what will change. Until a person with the right to do so confirms it, nothing changes in your system.

5.2 Whose rights apply. Where a connected system checks each person's rights, Datlay makes the change with the confirming person's own login, and that system decides what the person may do. Where a connected system gives one company-wide access for all users of an app (for example QuickBooks Online and HubSpot), your administrators decide in Datlay who may see and who may change what. In those systems, the system records the change under the name of the Datlay app or of the administrator who connected it, and Datlay's log records who confirmed it.

5.3 What Datlay does when you confirm. At the moment of confirmation, Datlay reads the document again. If the document changed after the change was prepared, Datlay does not make the change and shows the new state instead. Otherwise it makes the change shown on the confirmation screen and nothing else. It records in the log which person or tool asked for the change, with whose rights, who confirmed it and what the system answered. If the outcome of a change is unknown (for example because the system did not answer in time), Datlay does not repeat it by itself: it reads the document again and shows the person the result.

5.4 Your responsibility. A confirmed change is your company's instruction. Your people are responsible for checking what they confirm, and your administrators for deciding who may confirm which changes.

5.5 Safety stops. To protect your systems, we may pause changes for a workspace, or for all workspaces, for example when changes are being made far more often than usual. Reading continues, and we tell your administrators.

5.6 Disconnecting. An administrator may disconnect a system at any time. Datlay then deletes the access tokens it held for that system and stops reading from it.

6. Your AI assistant, the API and your own tools

6.1 You may connect your own AI assistant (for example Claude or ChatGPT) to Datlay. It works as the person who connected it, with that person's rights, and any change it prepares waits for a person's confirmation under section 5. We charge nothing for connecting it. It runs on your own subscription with its provider.

6.2 The assistant, its provider, and the other tools you connect (including through the API with a personal token) are your choice and act for you. Their providers process your data for you, under your own terms with them. They are not our sub-processors, and we are not responsible for them, for their outputs, or for what they do with what they read. Data they read leaves Datlay on your instruction.

6.3 Text in your systems, such as notes or comments, can contain instructions written by somebody else. Datlay marks such text as data when it passes it to your assistant, but it cannot control how your assistant treats it. For changes in your systems, the confirmation step is the safeguard. What your assistant does with its other tools is your responsibility.

6.4 A personal API token acts with the rights of the person it belongs to. Your developers may build on the API and use the sandbox with demo data. What they build is yours (section 17.2).

6.5 You and your tools use the API and the assistant connection within the documented rate limits. The limits protect the service and apply equally to every customer. They never limit the number of users.

7. The trial

7.1 You may try Datlay free for 14 days, or longer if extended. No payment card is needed, and nothing is charged when the trial ends.

7.2 No service level applies during a trial. We may restrict a trial that is used for abuse, for example to send spam or to test stolen credentials. We may decline a sign-up and end a trial by notice; section 15 then applies.

7.3 The DPA protects the data in your trial workspace from the first minute, like any other data.

7.4 We email your administrators before the trial ends. When the 14 days end, or the longer period of an extended trial, unless you have subscribed, the workspace is read-only: you can sign in, read and export, but nothing changes in your systems.

7.5 You may subscribe at any time before your data is deleted and keep everything. Otherwise we delete the workspace 30 days after the trial ends, or later if we could not reach any administrator, in which case we tell you the new date. We then send your administrators a certificate of deletion, as section 15 describes. An administrator may ask us to delete it sooner.

8. Size and price

8.1 Priced by transactions, never by users. Your price depends on the number of transactions your company runs a month. A transaction is a confirmed sales order, purchase order or production order or, where no order stands behind it, a posted invoice or credit note, a posted supplier bill or credit, or a completed stock operation. A document that follows an order (its deliveries, invoices, credit notes, returns and payments) is not counted again. A document with more than 25 lines counts once for each 25 lines or part of them, and point-of-sale receipts count once for each 25 receipts of a month. Drafts, quotations and documents cancelled in the month they belong to are not counted; a document cancelled after its month has closed stays counted in that month. Journal entries, bank statement lines, payments, deals, leads, activities, users and logins are never counted. A transaction that Datlay follows through several connected systems counts once.

8.2 Your size. Datlay counts your transactions from your connected systems and shows your administrators the count, with the documents counted. Your size is set from the average of the last 12 months, or of the months Datlay has read if there are fewer. The size and the price are shown before you pay. You may check any count, and we correct a wrong one.

8.3 Changes of size. At each renewal of a yearly subscription, and at each 12-month anniversary of a monthly one, your size follows the average of the last 12 months: it moves up if that average is more than 10% above the upper edge of your size, and down if it is below the lower edge. Between those dates your size moves only up, and only if the transactions of each of three consecutive calendar months are more than 50% above the upper edge of your size; the size into which the average of those three months falls then applies. We tell your administrators of any change of size in writing, with the counts it rests on. On a monthly subscription, the new size applies from the first billing period that starts at least 30 days after our notice. On a yearly subscription, a change at renewal applies from the renewal, and a change between renewals applies from the first day of the first calendar quarter that starts at least 30 days after our notice; we then charge the difference in price, pro rata, for the rest of the paid year.

8.4 Yearly or monthly. You choose yearly billing at the list price, or monthly billing at the list price plus 10%.

8.5 Currency. The price is shown and charged in the currency of your company's country: AED for a company registered in the United Arab Emirates, USD for one registered in the United States or Canada, and EUR for one registered in any other country. The checkout shows the currency before you pay.

8.6 Price changes. The price of a period you have paid for does not change. We may change our prices from a renewal, by telling your administrators at least 30 days before it.

8.7 Taxes. Prices exclude VAT. We are registered for VAT in the United Arab Emirates. A company established in the UAE pays 5% UAE VAT. For a company established outside the UAE, we invoice a zero-rated export of services without UAE VAT, and your company accounts for any VAT due in its own country under the reverse charge where it applies.

8.8 Other services. Services you may buy beside the subscription, such as help from our engineer, are described and priced when you buy them.

9. Payment and invoices

9.1 You pay in advance, on Stripe's hosted payment pages, by card or by another method the checkout offers. Card and bank details never reach our servers.

9.2 Your subscription starts on the day of your first payment. A yearly subscription is paid for 12 months ahead, a monthly one month by month. It renews automatically for the same period until it is cancelled. At least 30 days before a yearly subscription renews, we email your administrators the size and the amount of the next year.

9.3 We issue a tax invoice in English from Rteam FZE LLC to your company for every payment. It is emailed to your billing contact and listed in your workspace with every earlier invoice.

9.4 If a payment fails, we try again and email your billing contact and administrators each time with a link to update the payment method. Your workspace keeps working. If an amount stays unpaid, section 13 applies.

9.5 You may dispute an invoice in good faith by telling us in writing, with reasons, within 15 days of receiving it. Pay the undisputed part when it is due. An amount you dispute in good faith is not overdue while the dispute is pursued.

9.6 Cancellation and refunds are described on the Refunds page, which forms part of these Terms.

10. Acceptable use

10.1 You will not, and will not let anyone:

10.2 To stop a breach of this section, we may restrict the account, token, connection or tool concerned, as section 13.3 describes.

11. Your data

11.1 It is yours. "Your data" is what Datlay reads from your connected systems, what your users enter, and what Datlay produces from them for you, such as X-ray results, reports and the log of changes. Your data is and remains yours. You give us the right to use it only to provide Datlay to you, and as the DPA allows.

11.2 Personal data. The DPA applies to the personal data in your data, from the first minute of a trial. You confirm that your company has the right to let Datlay process the data of the systems it connects.

11.3 Where it is. Your workspace is hosted in the region shown in it; at launch, the European Union (Germany). We do not move your data out of its region except as the sub-processors page shows or with your administrators' written consent.

11.4 Export at any time. During a trial, a subscription, a suspension and the 30 days after the end, your administrators can export the lists (as CSV, Excel or PDF), the X-ray reports and the log of changes, at no charge. We never withhold your data or its export as security for a payment or in a dispute.

11.5 No AI of ours on your data. Datlay itself sends your data to no AI provider of ours, and we do not use it to train or fine-tune any model. Your data reaches an AI provider only through an assistant or tool you connect (section 6). If we ever wanted an AI provider of ours to process your data, it would be a new sub-processor, announced under section 6 of the DPA, with your right to object.

11.6 Data about the service. We may use data about how the service runs (availability, errors, response times and use of resources), which contains none of the content of your data, to operate and improve Datlay.

11.7 Anonymous figures. We may compute anonymous figures about how processes run across many companies, and use them only as section 12 of the DPA allows. They never identify your company, your people or your business partners.

11.8 Reference. We name your company as a customer only with its prior written consent.

12. Availability and support

12.1 We run Datlay with monitoring, alerts and backups, and fix faults as fast as we reasonably can. These Terms do not set an availability level or service credits.

12.2 Datlay depends on your connected systems, their interfaces and the internet. Their outages are outside our control.

12.3 We keep planned maintenance outside business hours where we can, and announce in advance maintenance that interrupts the service.

12.4 Support is given by email at support@datlay.com, in English, on business days.

13. Suspension

13.1 Only for non-payment, and only after notice. If an amount is overdue, we send you a written notice naming the amount, its due date and the date of suspension, which is at least 30 days after the notice. If the amount is still unpaid on that date, we may put your workspace in read-only mode.

13.2 In read-only mode your users keep signing in, reading and exporting everything, and Datlay makes no changes in your systems. We keep the backups and the security of your workspace running. We end read-only mode within one business day after we receive the overdue amount.

13.3 We do not suspend or restrict Datlay for any other reason, except: (a) under section 20 (sanctions); (b) where a user account, token, connection or connected tool presents an imminent threat to the security of Datlay, of your systems or of other customers, in which case we restrict only that account, token, connection or tool, only for as long as needed, and tell your administrators at once; (c) where an order of a competent authority binding on us requires it; (d) where a trial is used for abuse (section 7.2); or (e) where you or a user breach section 10, in which case we restrict the account, token, connection or tool concerned until the breach ends.

13.4 A suspension does not change the fees due. If an undisputed amount is still unpaid 60 days after the suspension started, we may end the subscription by notice.

14. Term and ending

14.1 Your subscription starts on the day of your first payment and renews automatically for the same period, a month or a year, until it is cancelled or ended.

14.2 Cancelling. An administrator may cancel at any time, on the billing page of the workspace or by email to support@datlay.com from the administrator's address in the account. A monthly subscription ends at the end of the paid month. A yearly subscription ends at the end of the paid year and does not renew.

14.3 For breach. Either party may end the subscription by written notice with immediate effect if the other party materially breaches these Terms and does not cure the breach within 30 days of written notice, or at once where the breach cannot be cured or is a breach of section 10 or 20, or if the other party becomes insolvent.

14.4 We may also end the subscription under section 13.4 (non-payment) and section 20 (sanctions).

14.5 We may end the subscription without a reason only by notice given at least 180 days before the date it ends.

14.6 Refunds. Fees paid in advance are refunded for the period after the end only where the subscription ends because of our side: your notice under section 14.3 for our breach, our notice under section 14.5, an uncorrected fault under section 18.2, an infringement claim under section 17.5, your objection to a sub-processor under section 6 of the DPA, sanctions under section 20, or force majeure under section 22.4. In every other case, fees for the current period are not refunded, except a charge made in error (see the Refunds page). The Refunds page sets out the details.

14.7 Sections 11, 15, 16, 17, 19, 20, 22 and 23, and the DPA, survive the end of the subscription, together with every payment obligation that arose before it.

15. Exit: export, deletion and certificate

15.1 When a trial or a subscription ends, for any reason, Datlay makes no further changes in your systems. Your workspace stays open, read-only, for 30 days, so that your administrators can export the lists, the X-ray reports and the log.

15.2 At the end of those 30 days at the latest, we disconnect your systems and delete the access tokens that Datlay held for them.

15.3 At the end of those 30 days, we delete your workspace: its database, documents, settings and tokens. Backups run on a rotation of at most 35 days, but the backups of each workspace are encrypted with a key of that workspace alone. We destroy every copy of that key when we delete the workspace, so its backups can no longer be read from that moment.

15.4 We then send your administrators a certificate of deletion signed by Rteam FZE LLC.

15.5 On an administrator's written request, once you confirm that you have your export, we delete sooner.

15.6 We keep only what the law or these Terms require: invoices and payment records, the acceptance records, and a record that the workspace was deleted and when. Anonymous figures computed under section 12 of the DPA contain nothing that identifies you and are not deleted.

15.7 You keep everything you exported, including the X-ray reports and the log, and anything you built on the API. Your connected systems still hold your business records, so there is nothing to move back.

16. Confidentiality

16.1 Each party keeps confidential the non-public information it receives from the other in connection with these Terms, uses it only for this contract, and protects it with at least the care it uses for its own confidential information. Your data is your confidential information.

16.2 This does not apply to information that is public other than through a breach by the receiving party, was already lawfully known to it, was developed independently, or must be disclosed by law or a competent authority (with notice to the other party where the law allows).

16.3 This section lasts for five years after the end of the subscription, and for trade secrets as long as they remain trade secrets.

17. Intellectual property

17.1 Ours. Datlay, its software, documentation and screens, and the connector module belong to us or our licensors. During a trial or a subscription we give your company a non-exclusive, non-transferable right to use Datlay for its own internal business, for any number of users. You receive no source code, except the Odoo connector module, which is installed in your system as source code and is licensed under the licence stated in it; section 17.3 does not apply to it.

17.2 Yours. Your data, the reports and exports produced from it, and what you, your developers or your AI tools build on the API (insofar as it contains no part of Datlay) are and remain yours.

17.3 Restrictions. You will not, and will not let anyone: copy, frame or mirror Datlay; reverse engineer, decompile or disassemble it, except as far as the law allows this and does not let it be excluded by contract; sell, resell or rent access to Datlay, or operate it for third parties; get around its security or access controls; or use Datlay, its screens or the output of its API to build a product or service that competes with it. Research done in good faith under the vulnerability disclosure section of the Security page is not a breach of this section.

17.4 The names of other vendors' products on this site and in Datlay are trademarks of their owners and are used only to describe compatibility. Datlay and a-systems are not affiliated with them.

17.5 Infringement claims. If a third party claims that your use of Datlay under these Terms infringes its intellectual property rights, we, at our cost and our choice, obtain the right for you to continue the use, or change the affected part so that it no longer infringes without a material loss of function, or, where neither is reasonably possible, end the use of the affected part and refund the fees you prepaid for it for the rest of the period. This does not apply to claims arising from your data, your systems or the tools you connect.

18. Warranties

18.1 We warrant that Datlay materially performs as its documentation describes, that it contains no malicious code, and that we maintain the security measures in Annex II of the DPA.

18.2 If Datlay does not conform to section 18.1, we correct it at no charge within a reasonable time after your written notice. If we do not correct a material non-conformity within 30 days after that notice, you may end the subscription by written notice, and we refund the fees you prepaid for the rest of the period. These are your only remedies for a non-conformity of Datlay, except where it results from wilful misconduct or gross negligence.

18.3 These warranties do not cover non-conformities caused by your connected systems or their interfaces, by your configuration, by the tools you connect, by the quality of your data, or by use outside the documentation.

18.4 You warrant that you have the authority to accept these Terms for your company.

18.5 Except as these Terms state, all other warranties and conditions are excluded as far as the law allows. We do not warrant that Datlay is free of errors or uninterrupted.

19. Liability

19.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, for wilful misconduct or gross negligence, or for any liability that the law does not allow to be limited.

19.2 Subject to section 19.1, neither party is liable for indirect or consequential loss, loss of profit, loss of revenue or loss of anticipated savings. The cost of restoring your data in Datlay from our backups is direct loss.

19.3 Subject to sections 19.1 and 19.4, each party's total liability under or in connection with these Terms is limited to the total fees paid or payable by you under them in the 12 months before the event that gives rise to the claim.

19.4 For a breach of the DPA or of data protection law, and for a breach of section 16 (confidentiality), the limit is the greater of EUR 100,000 (or its equivalent in the currency you pay in) and two times the fees under section 19.3. Where such a breach is intentional or grossly negligent, no limit applies.

19.5 Your liability for a breach of section 10, 17.3 or 20, and for the fees, is not limited by sections 19.2 and 19.3.

20. Sanctions

20.1 Datlay may not be used by or for the government of the Russian Federation or of Belarus, or by or for any legal person, entity or body established in either country. You confirm that none of these applies to your company, to any company of your group, or to anyone who will use Datlay for you, and you will tell us at once of any change that makes this untrue. Use in breach of this section is a material breach.

20.2 We may suspend and, where the restriction lasts more than 90 days, end any part of the service where providing it would breach a sanctions law that binds us or anyone acting for us. We keep your data available for export as far as the law allows, and refund fees prepaid for any period in which the service is not provided because of it, as far as the law allows. Such a suspension or ending is not a breach of these Terms.

21. Changes to these Terms

21.1 A new version of these Terms or of the DPA applies to new sign-ups from the day it is published here.

21.2 For an existing customer, we email the administrators at least 30 days before a new version applies to them, with a plain summary of what changed and a link to the full text and to the differences.

21.3 Where we mark a change as material, an administrator is asked to accept it at the first sign-in after it applies, and the acceptance is recorded as section 2 describes. Until an administrator accepts it, your company keeps working under the version it accepted, and may cancel, until the next renewal that falls at least 30 days after our notice. If no administrator has accepted the new version by then, the subscription ends at that renewal.

22. General

22.1 Entire agreement. These Terms, the DPA and the Refunds page are the entire agreement between the parties on their subject and replace all earlier discussions on it. Nothing excludes liability for fraud.

22.2 Transfer. We may transfer this contract as a whole, on the same terms, to another company under the same control as Rteam FZE LLC, or to a buyer of the business that provides Datlay, by notice to your administrators. You may object within 10 business days of that notice, giving reasons, only where that company is not registered or is insolvent or, for a transfer within our group, is not under that control. Otherwise, neither party may transfer this contract without the other's written consent, which is not to be unreasonably withheld, except that you may transfer it, by notice, to a successor of your whole business.

22.3 Subcontractors. We may use subcontractors and remain fully responsible for their work as for our own.

22.4 Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, provided it tells the other party and resumes as soon as possible. Payment obligations are not excused. Force majeure does not excuse us from keeping the backups or from making your data available for export as soon as the event allows. If such an event prevents the service for more than 30 consecutive days, either party may end the subscription by written notice, and fees prepaid for the period after the end are refunded.

22.5 Notices. Notices under these Terms are given by email: to us at support@datlay.com, and to you at the addresses of your administrators. A notice takes effect on the business day of receipt shown by a delivery or read confirmation or by a reply, and otherwise on the next business day after it is sent without a bounce.

22.6 Other terms. If a provision is held invalid, the rest stays in force, and the invalid provision is replaced by a valid one closest to its purpose. A failure or delay in using a right is not a waiver of it. These Terms give no rights to anyone who is not a party to them.

23. Law and courts

23.1 These Terms, and any non-contractual obligation arising out of or in connection with them, are governed by the laws of the Dubai International Financial Centre (the "DIFC").

23.2 The parties agree in writing, by this specific, clear and express provision and for the purposes of Article 5(A)(2) of Dubai Law No. 12 of 2004 concerning the Judicial Authority at the Dubai International Financial Centre (as amended), that the Courts of the DIFC have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, including non-contractual disputes, whether or not the dispute or either party has any other connection with the DIFC. This choice binds both parties equally.

23.3 Either party may apply to any competent court for urgent interim or protective measures, including measures to preserve evidence, to secure access to your data, or to stop a breach of section 16 or 17.3. Doing so is not a waiver of section 23.2.

23.4 The standard contractual clauses incorporated in the DPA follow the law and courts that the DPA chooses for them.
